Samantha M. Williams is a Partner and member of the Property & Development, Banking & Finance and Corporate, Commercial & Securities practice groups. She joined the Firm in 2003.

In the Banking & Finance arena, Samantha has assisted with the preparation of complex financing documents and the structuring of syndicated loans.  She further works for a wide commercial client base on asset/corporate/lease/project finance matters, mortgage and loan refinancing, and financial services regulation matters.

She has a broad range of experience in the Property & Development practice group.  Her experience includes domestic mortgages, conveyancing, property title and opinion work.  She has worked on condominium agreements, subdivision planning, development and financing, and private and commercial leases.

Within the Corporate, Commercial and Securities practice group, Samantha is experienced with corporate finance, corporate formations, reorganizations, joint ventures, mergers and acquisitions, and corporate capacity opinions.

Samantha is well versed in assisting clients with Government approvals, Business Licenses, and Exchange Control applications.  Samantha further works on probate and estate matters and  a broad range of immigration issues.

Recent transactions include:

  • Advising credit risk personnel at local lending institutions on the enforceability of mortgage security, demand and sale, and acting on behalf of such lending institutions in power of sale matters; assisting in the implementation, drafting and reviewing of internal bank policies, documents and other related matters;
  • Representing a major international debt fund as local counsel in a debt-for-equity swap of approximately US$ 170 million, concerning a major Bahamian resort property and related joint venture interests, which included obtaining requisite multi-departmental Bahamian Government approvals for the acquisition, the assumption of casino management licenses, and a numerous relevant operating licenses;
  • Transferring the mortgage loan portfolio of a leading international bank operating within the Bahamas; and
  • Advising high net worth families with respect to complex probate matters involving a wide range of assets, including the distribution and sale of such assets.
