Michelle Pindling-Sands, a Partner who heads up the Firm’s Maritime Practice Group, joined the Firm in 1986.   Michelle’s practice focuses on ship finance, advising lenders and other financial institutions on complex structured financing transactions.  She also provides expertise to ship-owning companies on all phases of ship sales and purchases.  Michelle recently authored the Bahamas Chapter in “Getting the Deal Through” on Ship Finance in The Bahamas.

Michelle acted as lead Bahamian counsel for a US$550 million offering to refinance existing debt for a market leader in the luxury cruise industry.   Simultaneously, she advised on financing the purchase of a new luxury ship, secured by all Bahamian assets, share pledges and ship mortgages.   In these transactions, Michelle’s broad knowledge of Bahamian corporate structures in financing transactions, including the preparation of commercial security documents for the shipping sector, were invaluable to her international clients.

Michelle’s experience with structured finance aligns perfectly with other aspects of her cross-border commercial practice, which ranges from company incorporations, continuations or re-domiciliations, mergers and acquisitions, and liquidations.

Recent transactions include:

  • Advised lender in relation to financing to repay outstanding indebtedness of a group of ship-owning companies, with each ship-owning company providing ship security as guarantors in support of the loan facility, and drafting corporate resolutions and ship mortgages;
  • Advised a lender in connection with a facility to oil and gas companies, secured by Bahamian all asset security and share pledges, and drafting and registering all Bahamian security;
  • Advised a lender in connection with the sale of a vessel by a mortgagee in possession;
  • Advising ship-owner in connection with the sale and purchase of cruise ships, including advising on registration requirements for seller and purchaser, drafting documents in connection with the sale and purchase, and to attending to registration of all ship-owner documents, as well as drafting and registering ship mortgages; and
  • Advised leading retailer in connection with its corporate restructuring involving local mergers and cross-border mergers.
