Leonard E. Whan is a Partner and a prominent member of the Firm’s Banking & Finance and Corporate & Commercial Practice Groups, since joining the Firm’s Nassau offices in 2012.  The IFLR 1000, The Guide to the World’s Leading Financial Law Firms, recently nominated him as a “Rising Star” for his work in the Bahamas banking industry.

Leonard has developed a high level of expertise assisting major domestic and international entities with a wide range of banking, financial,  commercial  and regulatory matters.   He regularly assists clients with applications, filings and compliance in relation to the Bahamas Ministry of Finance, the Central Bank of The Bahamas, the Bahamas Investment Authority, and the Securities Commission.

Leonard earned his LL.M. at the University of Miami and received his J.D. from the Mercer University School of Law.  Prior to joining Graham Thomson,  Leonard worked as in-house counsel for a regional financial institution in the United States.

Recent transactions include:

  • Representing a global security company in the sale of its Bahamian subsidiary for $480 million;
  • Representing an international financial institution in the sale of a majority interest in its Bahamian bank subsidiary;
  • Advising a local financial institution with respect to the redrafting of its online banking agreement and general account terms and conditions;
  • Representing a global investment fund structure in its filings with the Securities Commission in connection with a winding up application;
  • Representing a leading financial institution with respect to a $100 million syndicated credit facility for the Government of The Bahamas;

  • Advising several multi-national companies with respect to VAT implementation and compliance;

  • Advising a leading international power generation company with regard to its application to the Bahamas Investment Authority and requisite permit and licensing requirements;

  • Representing leading financial institutions before the Central Bank of The Bahamas with regard to regulatory filings; and

  • Advising and representing international banks with regard to corporate restructurings.
