Andrew G. Wells is a Partner in the Firm’s Property & Development practice group based in the Nassau office.

Andrew’s main area of practice encompasses all aspects of real estate development, from acquisition of land to financing, development, sale and leasing.  Andrew enjoys a fine reputation for his work for purchasers of high-end homes in exclusive communities throughout the Bahama islands.  Often, these transactions require the settlement of numerous complex agreements, and are of a very time sensitive nature.  Andrew also oversees banking, corporate and immigration matters for his key real estate clients.

Andrew has a great deal of experience with a wide variety of sophisticated mortgage structures and debentures over real estate, and has assisted clients with joint venture agreements for the purpose of real estate investment. He is known for his careful and thorough advice on title issues relating to land acquisitions and his ability to resolve complex real property tax issues.   He is highly regarded for his expertise in subdivision approvals/planning/development/financing, mixed-use development structuring, fractional ownership structures and the intricacies of condominium development including condominium declarations and homeowner association formation.

Andrew is sought after for his ability to navigate through government departments on behalf of foreign investors and clients involved in foreign currency financing transactions.  In this regard, he works on Exchange Control approvals, Investment Board approvals, and Central Bank of The Bahamas approvals.

In the Banking & Finance arena, Andrew works on asset financing, commercial financing, residential financing, corporate finance, project finance, lease financing, as well as securing necessary regulatory approvals for this wide array of financial structures.

Recent transactions include:

  • Working on the legal team representing the purchaser of a mega multi-use resort in Nassau, with a particular focus on settling complex title issues that are required to obtain title insurance.
  • Representing a major international debt fund as local counsel in a debt-for-equity swap of approximately US$ 170 million, concerning a major Bahamian resort property and related joint venture interests, which included obtaining requisite multi-departmental Bahamian Government approvals for the acquisition, the assumption of casino management licenses, and numerous relevant operating licenses;
  • Representing real estate developers in the purchase, development and re-sale of subdivisions;
  • Advising foreign lenders seeking to secure legal mortgages over real estate in The Bahamas as security for foreign currency loans to residents and non-residents;
  • Advising foreign lenders on the remedies and rights of foreign mortgagees;
  • Representing several clients acquiring local hotels and securing the real property tax exemption and the duty free importation of building materials under the Hotels Encouragement Act;
  • Advising international lenders on various aspects of financing hotels and commercial concerns in The Bahamas;
  • Representing a commercial conglomerate in the sale of an office building in a prestigious commercial complex in Nassau; and
    • Conducting due diligence on behalf of purchasers in relation to corporate acquisitions.
